Bitcoin treasury firm Strategy is asking shareholders to greenlight daily dividend distributions across four of its US-traded preferred stocks, which includes STRC after it transitioned from monthly to twice-monthly distributions under three months ago.
Strategy’s board cleared the measure on September 24, as outlined in a Friday 8-K filing with the Securities and Exchange Commission. Based on the suggested conditions, STRC, STRD, STRF, and STRK would establish a dividend record date on every calendar day, including weekends and public holidays. Any dividend approved for those specific dates would be settled on the subsequent business day, the enterprise noted.
This initiative does not alter the payout yields for the four financial instruments or expand Strategy’s total standard dividend obligations. STRC is slated to transition first, featuring an initial record date of November 1 and a distribution the following day provided investors endorse the changes. STRF, STRD, and STRK are scheduled to follow suit in January.
"The planned adjustments are designed to bolster valuation stability, liquidity, and market interest," Strategy co-founder and Executive Chairman Michael Saylor stated on X.
Strategy’s ‘Digital Credit’ platform
Strategy investors previously voted to shift STRC from monthly to semi-monthly dividends back in June. Chief Executive Officer Phong Le remarked at that juncture that bi-monthly distributions aimed to steady its pricing, enhance market depth, and offer owners a quicker avenue for reinvestment. STRC functions as a floating-rate perpetual preferred stock engineered to hover near a $100 par value. It finished down 0.6% at $98.31 on Thursday, according to TradingView, having previously slumped past $75 in June.
Following that steep decline, Strategy unveiled a $1 billion buyback scheme targeting its preferred equities, initially prioritizing STRC. The company subsequently doubled the authorization limit to $2 billion earlier this month.
The quartet of securities involved in the newest proposal constitutes the core of what Strategy terms its "Digital Credit" infrastructure. The organization explained that more frequent payouts could render the preferred offerings more appealing and reinforce its capacity to secure preferred equity capital to fund its bitcoin (BTC) reserve blueprint.
"Reinforcing our preferred assets would forge a competitive edge for Strategy, while amplified demand could stimulate expansion and bitcoin per share metrics," the corporation indicated in a separate announcement.
Strategy has set a virtual special assembly for October 28. Authorization mandates backing from a majority of the voting capacity held by its common stock, as detailed in its preliminary proxy statement documentation. Owners of STRC, STRD, STRF, and STRK do not cast ballots regarding this motion. If approved, the modifications will become active once Strategy submits the revised certificates of designation in Delaware.
