Japanese investment and Bitcoin treasury firm Metaplanet launched a net interest income mechanism on Monday, aiming to allocate capital toward revenue-producing assets and utilize the resulting net interest to support its Bitcoin acquisitions and dividend distributions.
This initiative forms part of the enterprise’s updated asset allocation framework, which permits 10% to 15% of resources to be directed into strategic ventures, encompassing mergers and acquisitions along with yield-generating instruments.
Bitcoin (BTC) continues to serve as the organization’s primary treasury reserve holding, representing between 85% and 90% of aggregate assets, as noted by Metaplanet in a Monday notice. The strategic choice seeks to improve the Japanese enterprise’s borrowing capacity and credit profile to expand its BTC per share metrics through subsequent purchases.
The corporation disclosed this funding structure following investor anxieties regarding Metaplanet’s corporate governance and intricate capital framework. On Friday, Metaplanet published five amended regulatory filings establishing that Chief Executive Officer Simon Gerovich does not possess a majority voting stake in MMX Ventures, an investor in Metaplanet.

As a reaction to these revisions, pseudonymous Metaplanet investor Bitcoin Pharaoh demanded that the firm explicitly disclose the owner of MMX Ventures, clarify the 23.8% interest reported to be indirectly controlled by Gerovich, and identify the two undisclosed directors who executed 18.8 million shares from the Series 10 stock option pool.
“Either the indirect holding is his, in which case the deleted sentence was closer to the truth, or it is not, in which case the correction is incomplete,” Bitcoin Pharaoh posted in a Friday X post.

Metaplanet cuts $220 million from Series 10 stock pool following shareholder concerns
Earlier in September, leadership faced investor backlash for expanding Metaplanet’s Series 10 executive stock option allocation nearly sevenfold, moving from 46 million shares to 319.5 million. Metaplanet stated that it finalized the pool at 319.5 million units on Aug. 18, though certain investors urged the firm to rescind the 273 million extra potential equities established via the expansion.
On Sept. 11, Metaplanet published intentions to trim the stock pool by 41% by lowering the quantity of prospective shares underpinning the rights by 131.3 million, shifting from 319.464 million down to 188.19 million, through a reset of the conversion proportion from 1:696 to 1:410, matching the baseline prior to its September 2025 global share issuance.
This adjustment eradicated greater than $220 million in warrant valuation and elevated the enterprise’s Bitcoin per fully diluted share metric by roughly 8.8%, per Gerovich.
Nevertheless, asset management firm VanEck contended that a significant share of the investor dilution has already materialized despite the stock pool reduction, prompting Metaplanet to retract the 273 million supplementary shares and substitute the remaining rights with an investor-endorsed remuneration strategy, according to a Sept. 18 report.
On Aug. 31, Metaplanet revealed that Gerovich exercised privileges to secure 92,000 shares within the Series 10 allocation. On Aug. 18, the business acknowledged that expanding the pool “amplifies the dilution borne by existing shareholders.”
Critical mNAV ratio remains at discount
Nearly twelve months ago, Metaplanet observed its corporate valuation drop beneath the worth of its Bitcoin reserves.
The company’s market-to-Bitcoin net asset value (mNAV), representing the proportion between the corporate enterprise value and its cryptocurrency assets, declined under 1 on Oct. 14, 2025, reaching an all-time low based on official records.
At the closing bell in Tokyo on Monday, Metaplanet is valued at 0.80x its Bitcoin NAV, implying that market participants contribute $0.80 for every single dollar of Bitcoin held, according to analytics portal Mnav.com.

An mNAV metric under 1 signifies that an organization changes hands at a discount, complicating efforts to raise capital and issue fresh shares for additional cryptocurrency acquisitions.
